Welcome to Guitar-Resource.com (“we,” “us,” or “our”), owned and operated by Hampstead Guitar, LLC. These Terms of Use (“Terms”) govern your access to and use of the website located at guitar-resource.com, including all content, features, and services available through it (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. About the Services

Guitar-Resource.com is a private website that serves as a resource hub for current guitar students of Jim Ellis. The Services include access to lesson-related materials, scheduling information, and other educational resources provided in connection with private one-on-one guitar instruction conducted via webcam with screen sharing. Access to the Services is limited to enrolled students and is not open to the general public.

2. Eligibility and Access

Access to the Services is available only to individuals who are currently enrolled as private guitar students of Jim Ellis. Accounts are created at the discretion of the instructor. If you are under eighteen (18) years of age, your parent or legal guardian must consent to these Terms on your behalf and is responsible for your use of the Services. By using the Services, you represent and warrant that you are authorized to access the site as a current student or the parent or guardian of a current student.

3. Account Registration and Security

To access the Services, you must use the account credentials provided to you or created during your enrollment. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Your account is personal to you and may not be shared with, transferred to, or used by any other individual. You agree to notify us immediately at jim@guitar-resource.com if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate your account at our discretion for any reason, including violation of these Terms or the conclusion of your enrollment.

4. Private Lessons

4.1 Lesson Scheduling and Cancellation

Private guitar lessons are scheduled directly between you and Jim Ellis. Lesson times, frequency, and duration are agreed upon between the student and instructor. Cancellation and rescheduling policies are communicated at the time of enrollment and may be updated from time to time. Failure to provide adequate notice of cancellation as specified by the instructor may result in forfeiture of that lesson.

4.2 Lesson Fees

Lesson fees, payment methods, and billing frequency are agreed upon at the time of enrollment. All fees are quoted in U.S. dollars. Fees are subject to change with reasonable advance notice. Payment is expected in accordance with the agreed schedule. Continued access to the Services is contingent upon current enrollment and payment status.

4.3 Recording of Lessons

Students may record their own private lessons for personal study and review purposes only, unless otherwise agreed. Any lesson recordings are for the student’s personal, non-commercial use and may not be shared, distributed, uploaded, or published in any form without the prior written consent of Jim Ellis.

5. Intellectual Property

5.1 Ownership

All content available through the Services, including but not limited to lesson materials, written content, musical notation, exercises, audio and video recordings, graphics, and website design, is the property of Hampstead Guitar, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you under these Terms are reserved.

5.2 Restrictions

You may not reproduce, copy, download (except where expressly permitted for personal study), distribute, modify, create derivative works from, publicly display, publicly perform, republish, or exploit any content from the Services without the prior written consent of Hampstead Guitar, LLC. You may not share your login credentials or any content from the Services with individuals who are not enrolled students. You may not use automated tools, bots, scrapers, or similar technology to access, extract, or index content from the Services.

6. User Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services in any way that could damage, disable, or impair the website or interfere with any other user’s access. You may not attempt to gain unauthorized access to any part of the Services, other users’ accounts, or any systems or networks connected to the Services. You may not upload or transmit viruses, malware, or any other harmful code. You may not use the Services for any purpose other than your personal guitar education.

7. Privacy and Confidentiality

We respect your privacy and are committed to protecting your personal information. As this is a private site for current students, we take additional care to limit the exposure of student information. Any personal information collected in connection with the Services is used solely for the purpose of providing guitar instruction and related services. 8. Third-Party Services

The Services may utilize or link to third-party platforms for video conferencing, payment processing, or other functions. Your use of any third-party service is subject to that service’s own terms and privacy policies. We are not responsible for the content, availability, or practices of any third-party service.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAMPSTEAD GUITAR, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY SPECIFIC EDUCATIONAL OUTCOMES, MUSICAL PROFICIENCY, OR SKILL LEVEL AS A RESULT OF USING THE SERVICES. MUSICAL DEVELOPMENT DEPENDS ON MANY FACTORS INCLUDING INDIVIDUAL EFFORT, PRACTICE, AND NATURAL ABILITY.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAMPSTEAD GUITAR, LLC, ITS OWNER, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO HAMPSTEAD GUITAR, LLC IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hampstead Guitar, LLC, its owner, affiliates, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use or misuse of the Services, (b) your violation of these Terms, or (c) your violation of any third party’s rights.

12. Termination

Your access to the Services is contingent upon your continued enrollment as a private student. Either party may terminate the student-instructor relationship at any time. Upon termination of enrollment, your access to the Services will be revoked and your account may be deactivated. Provisions of these Terms that by their nature should survive termination shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Carroll County, Maryland, or the United States District Court for the District of Maryland.

14. Changes to These Terms

We may revise these Terms from time to time. If we make changes, we will update the “Last Updated” date at the top of these Terms. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

16. Entire Agreement

These Terms constitute the entire agreement between you and Hampstead Guitar, LLC regarding your use of the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
